Introduction

The purpose of this data protection notice is to provide information on how the Verdane Group (jointly “Verdane” or “we”), process your personal data in connection with your involvement with Verdane. All Verdane group entities are separate controllers, see below for contact details to all Verdane group entities. We respect your privacy and protect the personal data we process about you. All processing of personal data is carried out in accordance with the EU General Data Protection Regulation (the “GDPR”).

The processing is necessary to fulfil our contractual obligations with the company that you represent. This means that we have a legitimate interest in processing your personal data for these purposes. We consider that the processing of personal data is necessary for the purposes and that these outweigh any opposing interests and/or fundamental rights and freedoms you may have.
The processing may also be necessary to fulfil our legal obligations in accordance with applicable legislation
Representatives of advisors and prospective advisors. Contact details of owners, employees, prospective employees and former employees. Personal data is processed to evaluate prospective advisors, to communicate with advisors and to manage advisor relationships.
The processing is necessary to fulfil our contractual obligations with the company that you represent or directly with you. This means that we have a legitimate interest in processing your personal data for these purposes. We consider that the processing of personal data is necessary for the purposes and that these outweigh any opposing interests and/or fundamental rights and freedoms you may have.
Representatives of investors and prospective investors. Contact details of owners, employees, prospective employees and former employees. To find new investors, to manage investor relationships, to fulfil contractual obligations and to ensure compliance with applicable laws.
The processing is necessary to fulfil our contractual obligations with the company that you represent or directly with you. This means that we have a legitimate interest in processing your personal data for these purposes. We consider that the processing of personal data is necessary for the purposes and that these outweigh any opposing interests and/or fundamental rights and freedoms you may have.
The processing may also be necessary to fulfil our legal obligations in accordance with e.g. anti-money laundry legislation.
Representatives of portfolio companies and prospective portfolio companies, and representatives of investors and prospective investors. Name, contact details, nationality, personal identity number and date of birt relating to owners, employees, prospective employees and former employees.
If your name appears on any of the export control and sanctions lists we screen against, we may also process personal data relating to criminal convictions and offences.
Personal data is processed to carry out export control and sanctions screening and checks against adverse media lists. In practice, this means that your name will be checked against third party risk assessment tools incorporating sanctions lists adopted by the EU, UN and the US.
The screening against EU and UN export control and sanctions lists is necessary for us to comply with legal obligations under applicable export control and sanctions laws.
The screening against US export control and sanctions lists and adverse media lists is based on Verdane’s legitimate interests. Verdane operates in a regulated industry in which there is an enhanced risk of money laundering and terrorist financing. In many cases, there are contractual obligations and requirements for Verdane to perform screenings and take active measures against money laundering and terrorist financing. We consider that the processing of personal data is necessary for the purposes and that these outweigh any opposing interests and/or fundamental rights and freedoms you may have.
We will also process your personal data for the purpose of documenting the result of the screening based on our legitimate interest. In cases where personal data relating to criminal convictions and offences is processed and documented in the results, such processing is based on our legal obligations under applicable export control and sanctions laws or subject to approval by the applicable governmental authority.
Business contacts and others contacting us. Names of representatives of business contacts or names of anyone contacting Verdane, e.g. by email. The personal data is processed to maintain and communicate with business contacts or others that contact us, to organize events, to market our products and to send out information and newsletters.
The processing is based on our legitimate interest in maintaining business contacts and communicating with business contacts and others interested in our business. We consider that the processing of personal data is necessary for the purposes and that these outweigh any opposing interests and/or fundamental rights and freedoms you may have.
Website visitors and subscribers to our newsletter. When subscribing for our newsletter we collect your name, email address, country of origin, field of business and company where you work.
We also collect information through cookies.
The personal data is processed in order to send you the newsletter which you have requested.

The processing of your personal data for the purpose of sending you our newsletter is based on our legitimate interest. When you provide us with your information and subscribe to our newsletter, it is in our interest to provide you with this service. The newsletters are only sent as long as it is in your interest. Hence, there are no opposing interests for this processing.

As a general rule, we will collect the personal data directly from you. However, we may also collect information about you from your employer/the company that you represent, third party risk assessment tools or through publicly accessible sources, such as authorities.

Who has access to your personal data?

We have implemented appropriate technical and organisational measures to protect your personal data against loss, accidental and unlawful access and unauthorised disclosure. The number of persons with access to your personal data is limited. Only individuals associated with us that need to process your personal data in accordance with the purposes above have access to your personal data.

We share your personal data with other companies within the Verdane Group, namely in order to conduct our business to comply with legal requirements and contractual obligations.

We also share your personal data with suppliers and partners that carry out services on our behalf or in other ways collaborate with us, such as IT suppliers e.g. Microsoft and Intility, external advisors such as audit firms and bookkeeping and other service providers such as risk assessment tools.

If legally required to do so, we may also share your personal data with public authorities such as the Swedish Financial Supervisory Authority (Sw. Finansinspektionen) and the Swedish Competition Authority (Sw. Konkurrensverket).

We may also be required to share personal data during business transactions when required by our binding contractual obligations or applicable legislation.

Your personal data is primarily processed within the EU/EEA, however, when necessary, your personal data is transferred to our subsidiary in the UK and may also be processed in other third countries by our processors. The transfers are based on our legitimate interests and are required to conduct our business. When transferring personal data to countries outside the EU/EEA, we use standard contractual clauses approved by the European Commission to ensure a sufficient level of protection for your personal data or rely on an adequacy decision by the European Commission.

How long will we store your personal data?

Your personal data will only be stored as long as necessary for the purpose for which it was collected or as long as permitted or required under applicable law. This means that personal data relating to our contractual relationship with you or the company you represent will be processed for as long as you represent the company and/or as long as the contract remains. Some personal data may be processed for a longer time if required by applicable law.

What are your rights?

You have the right to know what personal data we are processing about you, and you can request a copy of such data. You have the right to have incorrect personal data about you corrected. You also have the right so in some cases request that we delete your personal data. You also have the right to object to certain processing of your personal data, and request that the processing of your personal data should be limited. Please note that limitation or deletion of your personal data may result in us not being able to fulfil our obligations under the agreement with the company you represent or provide you with our services. Under certain circumstances you are also entitled to extract your personal data in a structured, commonly used and machine-readable format and to transfer the personal data to another controller.
