Verdane funds

The Verdane funds are structured as Danish limited partnerships or Swedish limited liability companies, where older funds are domiciled in Denmark and the more recent funds are domiciled in Sweden.

Each fund is managed by a separate legal entity, referred to as the General Partner as regards Danish funds and the Manager as regards Swedish funds. Each General Partner or Manager is in turn managed by its respective board of directors.

A Verdane fund generally has a lifetime of ten years, with possibilities of limited prolongations under certain circumstances.

 

The General Partner or the Manager, as applicable, is responsible for all investment and divestment decisions of the fund it is managing. These decisions may be based on the recommendations of advisory companies. Each Danish domiciled Verdane fund also has an external investment committee.

Fund structure and management

Each fund consists of two Swedish limited liability companies (Sw. aktiebolag) which invest in parallel. The fund is managed by a separate Swedish limited liability company, the Fund Manager, which in turn is managed by its board of directors. The Fund Manager is responsible for and makes all investment and divestment decisions during the life of the fund. The Fund Manager may make decisions based on the recommendations from investment advisory companies. The investment advisory companies receive market-based fees for their advisory services.

 

Regulatory

The Fund Manager is subject to the Alternative Investment Fund Managers Act (2013:561), the Swedish enactment of the Alternative Investment Fund Managers Directive (2011/61/EU).

Verdane Fund Manager AB is an authorized alternative investment funds manager with the Swedish Financial Supervising Authority (Sw. Finansinspektionen).

The fund is managed by a separate Danish limited liability company, the General Partner, which in turn is managed by its board of directors. The General Partner is responsible for and makes all investment and divestment decisions during the life of the fund. The General Partner may make decisions based on the recommendations from investment advisory companies. The investment advisory companies receive market-based fees for their advisory services.

The fund’s investment activities are reviewed by an external investment committee, i.e. independent from the General Partner and the investment advisors. Decisions to make investments and divestments require the approval of the investment committee. The investment committee is appointed by the investors.

 

Regulatory

The General Partner is subject to the Alternative Investment Fund Managers etc. Act (no. 598 of 12/06/2013), the Danish enactment of the Alternative Investment Fund Managers Directive (2011/61/EU). Verdane Capital VI GP ApS, Verdane Capital VII GP ApS and Verdane Capital VIII GP ApS are registered with the Danish Financial Supervising Authority (Dk. Finanstilsynet) as alternative investment fund managers.
