The Fund Manager may make decisions based on the recommendations from investment advisory companies. The investment advisory companies receive market-based fees for their advisory services.

Fund structure and management

Each fund consists of a Danish partnership (Dk. kommanditselskab). The fund is managed by a separate Danish limited liability company, the General Partner, which in turn is managed by its board of directors. The General Partner is responsible for and makes all investment and divestment decisions during the life of the fund. The General Partner may make decisions based on the recommendations from investment advisory companies. The investment advisory companies receive market-based fees for their advisory services.
The fund’s investment activities are reviewed by an external investment committee, i.e. independent from the General Partner and the investment advisors. Decisions to make investments and divestments require the approval of the investment committee. The investment committee is appointed by the investors.

Regulatory

The General Partner is subject to the Alternative Investment Fund Managers etc. Act (no. 598 of 12/06/2013), the Danish enactment of the Alternative Investment Fund Managers Directive (2011/61/EU). Verdane Capital VI GP ApS, Verdane Capital VII GP ApS and Verdane Capital VIII GP ApS are registered with the Danish Financial Supervising Authority (Dk. Finanstilsynet) as alternative investment fund managers.
